Law of investments and capital transactions

Analysis of the client’s requirements as to the capital and transaction-related issues;
Preparing the (concept of) a capital investment or a capital transaction, taking into account the tax issues and its presentation to the client;
Preparing and negotiating the accompanying agreements related to the (concept of) a capital investment or a capital transaction: shareholders’ agreements or partners’ agreements and capital-investment agreements;
Conducting the activities related to the commercial companies code which are significant from the point of view of (concept of) a capital investment or a capital transaction (organizing general partners’ meetings and general shareholders’ meetings, preparing various types of resolutions, making amendments to the memoranda and articles of association of companies), as well as dealing with other issues (bylaws of management boards and supervisory boards, keeping the shares and stock books, as well as keeping the meeting minutes books);
Company formation, including mother companies and subsidiaries (the holding structures), as well as branches and representations;
Transformation of commercial law companies;
Legal supervision over sale of stock or shares, sale of an enterprise as a whole or a part (of its assets);
Merger and acquisitions of companies (a report on the company’s legal position, anti-monopoly law audit and tax planning);
Raising the initial capital, also by way of “unusual” non-cash contributions made to the company (know-how licenses, trademarks, etc.).
